TERMS OF USE
 
1. Scope and Acceptance
These terms apply to purchases from and use of The Manager Resource Vault website, digital products, memberships, licensed resources, and related customer services. By purchasing, accessing, downloading, or using a paid resource, the customer agrees to these terms and any product-specific terms shown at checkout.
 
2. Products and Services
The Manager Resource Vault provides practical management templates, scripts, checklists, operating tools, AI-assisted customization guidance, and internal-use team resources. Products are educational and operational resources. They are not legal, human-resources, tax, accounting, medical, regulatory, or other professional advice. Customers are responsible for adapting resources to their own organization, policies, delegated authority, and applicable requirements.
 
3. Eligibility and Account Responsibility
Customers must be legally able to enter into a binding purchase agreement. Customers are responsible for providing accurate contact and billing information, maintaining control of their access links and accounts, and preventing unauthorized use of purchased materials.
 
4. Pricing and Payment
Prices are shown before purchase. Payments are processed through third-party payment providers, including Stripe. The Manager Resource Vault may receive transaction identifiers, customer contact information, billing status, subscription status, and other payment-related records, but payment providers control the processing of card and bank credentials under their own terms and privacy practices.
 
5. One-Time Digital Purchases
A one-time purchase grants the license described for that product. Unless a product page states otherwise, a standard individual digital purchase is for the purchaser's own professional use and does not authorize resale, sublicensing, public posting, or redistribution as a standalone product.
 
6. Memberships and Recurring Subscriptions
Recurring plans renew automatically at the billing interval shown at checkout until canceled. The customer authorizes recurring charges to the payment method on file. A cancellation stops future renewal charges. Unless otherwise stated at checkout, access remains available through the end of the already-paid billing period. Partial-period credits or prorated refunds are not provided except where required by law or expressly approved as a customer-service exception.
 
7. Small Business License
An active Small Business License permits the licensed organization to allow its employees and managers to use and internally adapt the licensed Manager Vault resources for that organization's operations. It does not permit resale, sublicensing, public template distribution, transfer to another organization, or use to create a competing template library or product. Access rights tied to a subscription may end when the subscription ends, subject to any rights expressly stated in the applicable product terms.
 
8. Digital Delivery and Access
Digital products are delivered electronically or through an access link, shared library, member area, or similar digital method. Customers should keep their purchase receipt and access instructions. If access fails, the customer should contact The Manager Resource Vault through the website support/contact channel so the issue can be corrected.
 
9. Acceptable Use
Customers may not:
- resell, sublicense, publish, scrape, or mass-distribute the resources;
- remove ownership notices and represent the resources as an independently authored competing product;
- use the resources to violate law, employment obligations, privacy rights, intellectual-property rights, or another person's rights;
- attempt to defeat access controls or share credentials or access links outside the purchased license;
- use automated methods to extract or reproduce the resource library at scale.
 
10. AI-Assisted Resources
Some resources explain how to use AI tools for drafting, organizing, comparing, summarizing, or customizing management materials. AI output can be incomplete or inaccurate. Customers must independently verify material facts, numbers, policy language, legal requirements, and high-stakes decisions. Customers should not place confidential, privileged, regulated, or sensitive personal information into an AI tool unless their organization has approved that use and appropriate safeguards are in place.
 
11. Intellectual Property
Except for customer-provided material and third-party content, The Manager Resource Vault content, branding, original templates, written guidance, and resource organization are owned by or licensed to Seventy-One Fifteen LLC. Purchase provides a limited license to use the applicable product; it does not transfer ownership of the underlying intellectual property.
 
12. No Guarantee of Results
The Manager Resource Vault does not guarantee a particular business, employment, financial, legal, operational, or managerial outcome. Results depend on the customer's circumstances, implementation, judgment, policies, workforce, industry, and other factors outside the Company's control.
 
13. Third-Party Services
The website and customer experience may use third-party providers such as Wix, Stripe, Google, and email or analytics providers. Their services may be governed by separate terms and privacy practices. The Company is not responsible for outages or changes caused solely by third-party systems, but will make commercially reasonable efforts to restore access to purchased resources when an access problem can be corrected.
 
14. Suspension or Termination of Access
The Company may suspend or terminate access for material misuse, fraud, chargeback abuse, unauthorized redistribution, security risk, or violation of these terms. When appropriate, the Company may first provide notice and a reasonable opportunity to cure. This section does not limit rights that cannot legally be waived.
 
15. Changes to Products or Terms
The Company may improve, replace, reorganize, or retire resources. For ongoing subscriptions, material changes to recurring-plan terms should be communicated before they take effect when required by applicable law or when the change materially affects the customer's paid access.
